Available shareholdings

At a meeting of the Shareholders on the 18th of November 2014 it was resolved to adopt the articles for private Companies limited by shares set out in Schedule1 of the Companies(model articles) Regulations 2008 in place of those of the Company when incorporated in November 1985.
It was also resolved that in accordance with Article 22 of the Articles of Association of the Company, the directors were authorised to allot and issue 250,000 Preference Shares of £1 each. The Preference Shares carry a cumulative preferential dividend at the variable rate of 4.5% per annum above the base rate from time to time of the Bank of England, payable half-yearly on 30th June and 31st December in each year in respect of the half-years ending on those dates.
